Assisting and legal supporting of the shareholders of UPSAT group in their negotiations with the investors and carrying out the necessary actions and negotiations for the pre-closing, closing and post-closing of the acquisition. 

• Assisting Marquardt Automotive to carry out an absorption merger operation, by establishing the necessary acts and advising on the optimization of the execution of the operation

Advising Boccard Group, on several fields, M&A, corporate law, employee conflicts, legal advice in labour law, commentary and drafting of several contracts (employment, provider, clients, finance, etc.)  

• Assisting Schlemmer Group by legal due diligence including an EHS section an insuring the conformity of all procedures in accordance with the Tunisian Legislation. 

• Assisting ENI Tunisia in the updating of the legal framework regulating the environmental liabilities of the companies operating in the oil & gas field applicable in Tunisia. 

Assisting and managing a compliance regulatory matter for the Health Care company Novo Nordisk by providing practical legal advice and recommending ways to mitigate risk through preventative measures, regulatory audits and by advising on good governance procedures. 

• Providing ongoing and day to day advice to Schneider Electric in the following fields: corporate law, labour law, employee conflicts, commentary and drafting of various types of contracts (employment, provision of services, financing, etc.) and advising the group on the overall legal management of the employment aspects. 

Advising the world’s largest container shipping company Maersk Line SAS in setting up a joint venture with a Tunisian party including the drawing up of all required agreements i.e. shareholders’ agreement, etc.
